Imagicaaworld to acquire Malpani Parks Ahmedabad for ₹75 crore

Imagicaaworld Entertainment is set to acquire Malpani Parks Ahmedabad Private Limited (MPAPL) for up to ₹75 crore, pending shareholder approval. This strategic move will provide Imagicaaworld with land parcels in Ahmedabad to develop a large water and entertainment park, accelerating its expansion in Gujarat. The deal, structured as a related-party transaction, is expected to close by March 31, 2026.
Imagicaaworld Entertainment has announced plans to acquire Malpani Parks Ahmedabad Private Limited (MPAPL), a promoter-owned entity, in a deal valued at up to ₹75 crore.
The company's board approved the acquisition on Friday, subject to shareholder approval. The transaction involves the purchase of 100% equity shares of MPAPL from Malpani Parks Private Limited (MPPL), a promoter group entity.
According to the company, the deal will be executed on an arm's-length basis, supported by an independent valuation report. It has already received clearance from the Audit Committee and the Board.
Although MPAPL has not yet started operations, it holds non-agricultural land parcels in Ahmedabad identified for the development of a large water and entertainment park. Imagicaaworld said the acquisition will accelerate its geographic expansion and strengthen its presence in Gujarat, where it already operates.
“The acquisition, on attractive terms, will speed up our expansion by providing strategic land parcels with clear title and ready access for the development of a larger water park project in the first phase,” the company said in a regulatory filing.
Under the terms, Imagicaaworld will acquire 10,000 equity shares of MPAPL for up to ₹50 crore in cash. It will also infuse up to ₹30 crore into MPAPL through loans, intercorporate deposits, or debt to settle liabilities. The total transaction value will not exceed ₹75 crore. Once completed, MPAPL will become a wholly owned subsidiary of Imagicaaworld.
The acquisition is expected to close by March 31, 2026, subject to shareholder and regulatory approvals.
Since MPAPL is owned by MPPL, a promoter of Imagicaaworld, the deal qualifies as a related-party transaction. The company said it is being carried out on an arm's-length basis, with promoters interested only to the extent of their shareholding in the seller entity.
