SC orders ED to release V Hotels assets to Lodha Developers

The Supreme Court ordered the Enforcement Directorate to release ₹4,000 crore worth of V Hotels Ltd properties, including Mumbai's Centaur Hotel, to Lodha Developers. This ruling follows Lodha's acquisition of V Hotels through insolvency. The court's decision is conditional on Lodha having no ties to former promoters or proceeds of crime.
New Delhi: The Supreme Court has directed the Enforcement Directorate (ED) to release 12 properties of corporate debtor V Hotels Ltd, including land parcels in Maharashtra valued at about ₹4,000 crore, attached during a probe against its former promoters. The ruling is a major win for Lodha Developers, which acquired V Hotels through the insolvency process last year.
The assets to be restored include Mumbai's iconic Centaur Hotel in Juhu. Lodha Developers - formerly Macrotech Developers - had acquired V Hotels under a ₹890-crore resolution plan approved by the National Company Law Tribunal (NCLT) in April last year. The company had deposited ₹520.80 crore as security for lifting the ED attachment, as directed by the Supreme Court in July.
A bench led by Justice M.M. Sundresh, in a consent order, said the attached properties "are directed to be restored to the successful resolution applicant, who stepped into the shoes of the corporate debtor upon successful resolution under the CIRP."
The court, however, said the protection granted to Lodha under Section 32A of the Insolvency and Bankruptcy Code is conditional on the developer having no links to the former promoters of V Hotels (formerly Tulip Hospitality Services) and not being a beneficiary of any proceeds of crime. If the investigation shows otherwise, the ED may act in accordance with law, including challenging the resolution plan.
The order also directed the ED to return the ₹520.80 crore deposit, along with accrued interest, within two weeks. Any ED challenge to the NCLT's approval of the resolution plan "shall stand closed," and the agency will have no claim over the attached V Hotels properties or any assets covered under the plan.
However, the Supreme Court said the ECIR against the former promoters and directors of V Hotels will continue. The order, passed under Section 8(8) of the Prevention of Money Laundering Act, was issued based on the "peculiar facts" of the case and will not serve as a precedent.
