$4 billion: How a small-town brand caught global attention

Global investors are showing keen interest in India's smaller snack companies. Balaji Wafers is set to receive substantial funding, valuing it at $4 billion. This trend highlights the growing influence of regional brands in the FMCG market. These brands are challenging established giants through innovation and local appeal. Investors are actively seeking stakes in these rapidly expanding companies.
Months after Haldiram Snacks Food sold over 10% to three global private equity (PE) firms -- Temasek, Alpha Wave Global and International Holding Company -- at a more than $10 billion valuation, making it the largest private equity deal in the domestic consumer sector, its much smaller rival without its formidable heritage too is attracting global clout.
Balaji Wafers, which started out as a humble snack maker in Rajkot of Gujarat nearly three decades ago, would be worth $4 billion if US private equity firm General Atlantic buys a 7% stake in it. ET has reported today based on information from people with direct knowledge of the matter that the deal is in the final stages and the 7% stake would be for Rs 2,500 crore (approximately $282 million), valuing the packaged ethnic snack maker at about Rs 35,000 crore (almost $4 billion).

Balaji Wafers founder and managing director Chandu Virani confirmed to ET the negotiations with General Atlantic, saying a formal announcement will be made after the transaction is finalised. "It's a done deal from our side," Virani said. He said the next could be an initial public offering instead of further stake sale. The small-town brand that grew into a regional brand over decades had attracted a host of suitors, including General Mills, PepsiCo and ITC, as well as PE firms Kedaara, TPG and Temasek.

So the big players are now buying such brands.
Hundreds of regional and direct-to-consumer brands, ranging from noodles and tea to cosmetics and snacks, disrupting and taking share from large players. 1to3 noodles, Rungta tea and Mario biscuits are among local brands disrupting the large brands. One of the primary reasons for the rise of small and regional FMCG brands is the changing nature of consumer preferences. In a country as vast and diverse as India, national brands, though well-established, often find it challenging to cater to the unique needs of different regions. Smaller brands, on the other hand, have the advantage of being highly localised. Their focus on specific geographical areas, local tastes and regional customs allows them to craft products that resonate deeply with consumers in those regions.
Small brands are also rising because they are able to undercut large FMCG companies on price while maintaining quality. These brands often have lower overhead costs due to their smaller operations and local supply chains, which allow them to offer products at more competitive prices. Moreover, by focusing on specific market segments, they can tweak their offerings and pricing strategies in real-time based on local demand patterns.
Regional brands are also pioneering innovations that cater specifically to local tastes and dietary habits. For instance, in the snacks and beverages category, many have found immense success by tapping into regional preferences and offering products that are perceived as more authentic and closer to the local palate than the standardized products of large FMCG companies. Furthermore, the rise of quick commerce -- platforms that offer rapid, last-mile delivery of goods -- has provided smaller brands with the ability to reach customers in remote and underserved areas, further challenging the established FMCG players who may struggle to match the speed and efficiency of these newer players. The penetration of e-commerce platforms like BigBasket, Blinkit and Amazon has allowed regional brands to establish a direct-to-consumer (D2C) model that bypasses the traditional distribution channels where big companies dominate, enabling them to deliver products quickly and affordably.As the rise of small brands becomes noticeable, even as big companies struggle with low demand, they have caught the eye of investors too. About a dozen small, regional consumer brands are either in the process of raising private equity funding or are being pursued by investors keen to acquire minority stakes, executives had told ET in July. These include Ahmedabad-based frozen food maker Iscon Balaji, skincare brand Dermabay, condiment and noodle brand Moi Soi, Raipur-based Zoff Spices, and soft drink maker Bindu Jeera, as per the ET report.
Several mid-sized funding deals were finalised in recent times including snacking brand Khari Foods, desserts chain FES Café, and moss-based supplement maker CosMoss. Chandigarh-based Lahori Zeera and dairy and daily essential brand Country Delight too have raised more than Rs 200 crore each in funding.
The Balaji Wafers model of growth
The Balaji model is essentially based on offering products 20-30% cheaper than national brands and ensuring steady volumes through economies of scale. It also controls almost every bit of operations with a large chunk of manufacturing on its own through its four factories and hardly any advertising and promotion.
Virani started his business as a supplier of snacks and sandwiches at a movie theatre in Rajkot in 1982. Last fiscal year, Balaji generated Rs 6,500 crore in annual sales and a net profit of nearly Rs 1,000 crore. The company is by far the market leader in Gujarat, Maharashtra and Rajasthan, with about 65% share in the organised market across these states for products such as potato chips, namkeen and bhujia. Despite its limited geographic presence, Balaji is the third-largest salty snack brand in India, trailing only Haldiram's and PepsiCo. It credits the success to a low-cost, high-efficiency model focused on price-value, tight operational control and minimal advertising.
Balaji's low-overhead model of spending only about 4% of revenue on advertising — compared to an industry average of 8-12% — allows it to reinvest heavily in production, ensuring quality while maintaining low prices, according to the company. It currently has four manufacturing plants, which it plans to double to support national expansion.
"We don't compete on pricing as our products are significantly cheaper than rivals," Virani had told ET in 2023. "We don't even have a sales target and just chase demand for high quality and affordably priced products."
